ARTICLES OF INCORPORATION AND CHARTER Dated August 12, 1952, and amended April 7 and 26, 1965, October 5, 1972, September 22, 1978 and March 2, 1990. IN THE COURT OF COMMON PLEAS OF ALLEGHENY COUNTY, PA In Re Application for Charter of No. 2985 Jul Term, 1952 A. DELTA MU DELTA HONOR SOCIETY To the Honorable, the Judges of said Court: In compliance with the requirements of the Nonprofit Corporation Law of the Commonwealth of Pennsylvania, approved the fifth day of May, A.D. 1933, P.L. 289, we the undersigned, all of whom are residents of Pennsylvania, and citizens of the United States, its territories or possessions, and all of whom are of full age, having associated themselves together for the purpose or purposes hereinafter specified, and desiring that they may be incorporated, and that a charter may be issued to them and their associates and successors according to law, do hereby certify: First. The name of the proposed corporation is DELTA MU DELTA HONOR SOCIETY, which name has been duly registered with the Department of State of the Commonwealth of Pennsylvania. Second. The location and post office address of the initial registered office of the proposed corporation in the Commonwealth of Pennsylvania will be 2026 Cathedral of Learning, Fifth Avenue, Pittsburgh, County of Allegheny, Pennsylvania Third. The corporation does not contemplate pecuniary gain or profit, incidental or otherwise, to its members. The purposes for which it is formed are: exclusively charitable and educational within the meaning of Section 501(c)(3) of the Internal Revenue Code of 1986, as amended, including, but not limited to the granting of scholarships to deserving students, and to the encouragement and recognition of higher scholastic standing. The purpose of the scholarship fund shall be accomplished through, but not limited to the following:
Fourth. The corporation shall exist perpetually. Fifth. The name, place of residence and post office address of each of the incorporators are as follows:
Sixth. The names and addresses of those persons who are to act as directors until the election of their successors together with their titles, and who shall be subject to all of the provisions of the aforesaid Act relating to directors, and who shall constitute the number of directors of the corporation until changed by the bylaws, are:
Seventh. The corporation is to be organized upon a non-stock basis. Eighth. The amount of the assets which the corporation will have to start its corporation functions is as follows:
Ninth. In the event of dissolution, this organization shall, after payment of all liabilities, distribute all remaining assets to an organization or organizations exempt from taxation at the time under Section 501(c)(3) of the Internal Revenue Code of 1986, as amended. Witness our hands and seals this twenty-third day of June, A.D. One Thousand Nine Hundred and Fifty-two.
DECREE OF INCORPORATION And now, to-wit, this 12th day of August A.D. 1952, the within articles of incorporation, together with certificate of registration of corporate name of DELTA MU DELTA HONOR SOCIETY having been presented to the court of Common Pleas of Allegheny County, Pennsylvania, accompanied by proofs of publication of the notice of this application as required by law, and by the rule of this Court in such case made and provided, the court having found the Articles to be in proper form and within the provisions of the Nonprofit Corporation law of the Commonwealth of Pennsylvania, approved May 5, 1933, P.L. 289, and having found the purpose or purposes set forth in the said Articles lawful and not injurious to the community, and having found that the name is presently available for corporate use, as evidenced by certificate from the Secretary of the Commonwealth issued within six months, on motion of Robert W. Semenow, Esquire, Attorney for petitioners, it is hereby ordered and decreed that the said articles of incorporation are approved and that upon the recording of said subscribers thereto and their associates and successors shall be a Nonprofit corporation by the name and title of Delta Mu Delta Honor Society for the purpose and upon the terms therein stated.
